The following summaries describe selected matters handled by our founding attorney, Whitney J. Dumeng, Esq., in prior roles practicing corporate law at Cleary Gottlieb and Fried Frank in their New York City headquarters.

Advised a multinational consumer and business goods company in connection with the cross-border sale of global brand rights to an international strategic buyer. At the time of the transaction, the seller maintained an active portfolio of sponsorship and endorsement agreements operating under the brand name.
Matter required careful coordination ofthe transfer and licensing of trademark rights across multiple jurisdictions, preserving and transitioning existing sponsorship arrangements, allocating brand ownership and marketing rights post-closing, and structuring an ongoing commercial partnership between buyer and seller to support continued brand collaboration.

Advised on the negotiation and drafting of key business agreements, including master services agreements (MSAs), SaaS and subscription agreements, distribution agreements, and vendor contracts.
Work focused on pricing structures, service levels, representations and warranties, indemnification frameworks, liability limitations, and termination rights, ensuring agreements supported both operational needs and long-term business objectives.Description text goes here

Advised boards and executive teams on governance structures and board processes, including shareholder and operating agreements, board and committee resolutions and written consents, and governance oversight frameworks.
Experience included developing review processes and approval structures to support informed decision-making by boards and management teams.
Prior work also included public company governance matters in connection with proxy advisory firm reports, annual meetings, current reports, and Section 16 insider reporting obligations.Description text goes here
